1.1. Private Entrepreneur Iurii Duka, TIN 23367757, Republic of Armenia, Yerevan, Erebuni, 22 Nor Aresh street) («Triptickets») offers for providers of services in the area of tourism (hereinafter «Providers»; jointly with Triptickets the «Parties» and individually a «Party») Software as a Service («Service») on the basis of these General Terms and Conditions of Service («GTC»), which are a component of the Use Agreement with the Provider in their agreed, applicable version. 1.2. The Services offered by Triptickets are addressed exclusively to entrepreneurs.
2.Contractual Subject Matter and Scope of Services
2.1. In the context of these General Terms and Conditions (GTC), the term "Contract" refers to the Usage Agreement for Providers, which is entered into between the Provider and Triptickets for the provision of Services, including these GTC. The Contract can be established through either both Parties signing the Usage Agreement for Providers or the Provider's registration for Triptickets' services related to the Booking System on their website.
2.2. The core services offered by Triptickets primarily involve providing access to a cloud-based Booking System, as elaborated in detail on triptickets.tech, and is delivered as Software as a Service (SaaS) ("Booking System"). Additionally, an Application Programming Interface (API) may be made available to the Provider, and further services can be agreed upon. The Booking System allows the Provider to create booking forms, manage and book dates for admission tickets, tours, guided tours, and events ("Events"). Depending on the chosen package, Triptickets grants the Provider access to the Booking System throughout the contract duration. The Booking System can be customized to match the Provider's unique design requirements and can be seamlessly integrated into their website. The Provider is responsible for adapting the Services to meet the necessary legal requirements and ensuring compliance while delivering the Service. 2.3. Upon registration, the Provider is provided with a Triptickets account featuring administrative access. Depending on the selected package, the Provider has the ability to create various user accounts. The Provider is issued a username and has the option to set a secure password for accessing the Booking System. 2.4. Triptickets assumes responsibility solely for the technical provision of the Booking System, the API, and the designated Services. Triptickets is not a contractual party regarding individuals or companies browsing or booking the Provider's Events or utilizing the Provider's services through the Service ("End Customers") nor acts as an intermediary for the Provider's services to End Customers. 2.5. Triptickets is authorized to engage subcontractors in fulfilling its Services. 2.6. Triptickets holds the right to independently modify and enhance the Services, as well as introduce or discontinue functionalities based on planned usage. Such modifications will not significantly impact the Provider's ability to use the Booking System, provided the core functionalities remain accessible. The Booking System is designed to be adaptable and is continually expanded with new features. Triptickets also retains the right to temporarily or permanently amend or discontinue the API (in whole or in part, or the Provider's access to the API or API key) at any time, particularly in the event of excessive access or system overload. Triptickets will promptly notify the Provider in such instances.
3.Provider's Rights of Use
3.1. Triptickets grants the Provider a global, non-exclusive, non-transferable, non-sublicensable, and free-of-charge right to use the negotiated Booking System, as well as, if applicable, the API, for the duration of the Contract. This right encompasses the Provider's ability to provide these services to its End Customers for use. The right of use has no time limit for contractual downloads and file exports in connection with the Booking System. The Provider must adhere to the negotiated capacity limitations when utilizing the services. 3.2. Unless explicitly stated otherwise, the Provider is expressly prohibited from selling, leasing, or renting out the functionalities, licensing them to parties other than users with a Triptickets account, or engaging in activities such as reproduction, copying, public accessibility, processing, translation, reverse engineering, or modification. Additional utilization of the Booking System and the provided content, unless specifically negotiated in these GTC or required by mandatory legal provisions, is not allowed. 3.3. Triptickets retains all rights and legal entitlements to the Booking System, the API, and the associated intellectual property and know-how, except for the rights expressly granted in these GTC. The Provider acknowledges that it does not acquire any additional rights beyond those explicitly stipulated in these GTC.
4.Provider's Obligations and Responsibilities
4.1. The Provider is responsible for establishing the necessary hardware and software environment to access the Service. 4.2. The Provider shall use the Services strictly for the contractual purpose (sale/booking of Events) and in accordance with common practices. 4.3. Usage of the Services is limited to the Provider, who may, however, grant access to a restricted number of users operating within the scope of its business activities ("Users"). The Provider bears full responsibility for all actions conducted under its user ID, admin access, and Triptickets account. The Provider is obliged to ensure the careful handling of access data and refrain from disclosing it to third parties, unless explicitly permitted. Secure passwords must be chosen and stored properly, with periodic changes for security purposes. In case the Provider suspects unauthorized access or misuse of access authorizations, they are required to inform Triptickets immediately for damage mitigation and change their password accordingly. Access information should only be disclosed to employees who require it for their job responsibilities. 4.4. The Provider is obligated to provide accurate and complete data and information necessary for Service provision. Any changes to this information must be promptly reported to Triptickets. This includes details such as names, legal form, registered office, bank information, billing address, VAT ID number, postal address, and email address. 4.5. In the event that the Provider has requested Triptickets to process payments from End Customers (via external payment service providers), the following conditions apply: 4.5.1. Triptickets offers the Provider the option to enter into an agreement with an external payment service provider. Triptickets is not the contractual partner of the End Customer, and the payment process occurs directly from the End Customer's credit/debit card or bank account through the external payment service provider to the account specified by the Provider. 4.5.2. The Provider is obligated to inform its End Customers that payment processing is handled by external payment service providers. The Provider must ensure that End Customers review the details of the chosen service carefully, including separate provisions, before confirming their booking. 4.5.3. Triptickets assumes no responsibility for payment service providers and does not accept liability for fees, charges, processing, or reimbursements made by the payment service provider, whether justified, allegedly unauthorized, or erroneous. Invalid or unauthorized charges from the payment service provider must be resolved directly with the payment service provider.
5.Unauthorized Use of Services
5.1. In the event of a Provider's unlawful violation of contractual obligations, Triptickets is entitled to suspend access to the Services until the breach is permanently rectified.
6.Duration and Termination of the Contract
6.1. Unless otherwise specified, the Contract has a fixed minimum term of 12 (twelve) months, as indicated in the Usage Agreement for Providers (the "Minimum Term"). After the Minimum Term expires, the Usage Agreement automatically renews for an additional 12 months (the "Extended Contract Term") unless one of the Parties terminates it with a notice period of 3 (three) months before the end of either the Minimum Term or the Extended Contract Term. 6.2. The right to terminate the Contract for good cause remains unaffected. Good cause includes situations where the Provider:
Defaults in payment for two consecutive months and fails to settle the outstanding amount within 10 (ten) working days following a written warning.
Breaches essential contractual obligations and does not rectify the breach within a reasonable period after Triptickets' request.
7.Final Provisions
7.1. Any alterations or revisions to the Usage Agreement for Providers must be made in writing and require the signatures of both Parties. This requirement also extends to this clause concerning written form. Electronic transmission via email satisfies the conditions for the written form. 7.2. Should any individual clauses within the Usage Agreement for Providers be deemed entirely or partially invalid, such provisions that are potentially invalid shall be reinterpreted, modified, or substituted to ensure that the economic intent originally intended by the invalidated provision is still achieved. The same approach applies in cases where gaps are identified within these General Terms and Conditions (GTC).
